Agreement to our legal terms

We are Individual Entrepreneur ANDREI MALYSHOK ("Company," "we," "us," "our"), a company registered in Georgia at 49 Besarion Zhghenti Street, Tbilisi 0183, Georgia. Our VAT number is 305580305.

We operate the website https://criffy.com (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

You can contact us by email at [email protected] or by mail to 49 Besarion Zhghenti Street, Tbilisi 0183, Georgia.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Individual Entrepreneur ANDREI MALYSHOK, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

We will provide you with prior notice of any scheduled changes to the Services you are using. The modified Legal Terms will become effective upon posting or notifying you by [email protected], as stated in the email message. By continuing to use the Services after the effective date of any changes, you agree to be bound by the modified terms.

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

We recommend that you print a copy of these Legal Terms for your records.

1. Our services

Criffy provides subscription software and information tools for researching crypto products and maintaining personal records. Portfolio is a manual recordkeeping and analytics tool for assets, balances, transactions, and Earn and Loan positions. Its features and limits depend on your plan.

1.1 Portfolio records and external operations

You enter and maintain your Portfolio records. Recording a purchase, sale, transfer, swap, repayment, or liquidation in Portfolio changes your records in Criffy; it does not execute that transaction on a blockchain, exchange, wallet, lending platform, or other external service. Updating or reconciling Portfolio history does not synchronize an external account. Criffy does not hold or safeguard your assets, receive your private keys or recovery phrases, sign transactions, or control your external accounts.

1.2 Estimates and verification

Portfolio values, profit and loss, allocations, historical charts, annual percentage yields (APY), interest, debt, and loan-to-value (LTV) figures are estimates based on your entries, available market prices and historical data, and calculation assumptions. Missing or incorrect entries, unavailable prices, timing differences, and provider or calculation errors can produce incomplete or inaccurate results. Estimates may differ from actual balances, realized returns, tax cost bases, amounts owed, or liquidation thresholds at an external provider. Past performance and displayed yields do not promise future results.

Alerts depend on available data, your settings, and delivery systems. They are not a continuous monitoring or risk-management service and do not guarantee timely delivery, prevention of losses, or protection against liquidation. Verify figures and actions against the relevant wallet, exchange, protocol, or other original source before relying on them. Keep your own independent records and obtain qualified advice where appropriate. Portfolio is not a substitute for official account statements, tax records, or professional investment, tax, or accounting advice. Sections 21 and 22 govern the associated disclaimers and limitations of liability.

1.3 Permitted access

Use of our public API is also subject to the API Terms of Use. Those terms take priority over these Legal Terms only for API-specific use in the event of a conflict. Authorized automated access and integrations permitted by the API Terms are exceptions to the personal-use, commercial-use, and automation restrictions in these Legal Terms; this does not permit unauthorized scraping or bypassing access controls.

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

The Services are not tailored to comply with industry-specific regulations (Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), etc.), so if your interactions would be subjected to such laws, you may not use the Services. You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).

2. Intellectual property rights

2.1 Our intellectual property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

Our Content and Marks are protected by copyright and trademark laws (and various other intellectual property rights and unfair competition laws) and treaties in the United States and around the world.

The Content and Marks are provided in or through the Services "AS IS" for your personal, non-commercial use only.

2.2 Your use of our Services

Subject to your compliance with these Legal Terms, including the "PROHIBITED ACTIVITIES" section below, we grant you a non-exclusive, non-transferable, revocable license to:

  • access the Services; and
  • download or print a copy of any portion of the Content to which you have properly gained access. solely for your personal, non-commercial use.

Except as set out in this section or elsewhere in our Legal Terms, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

If you wish to make any use of the Services, Content, or Marks other than as set out in this section or elsewhere in our Legal Terms, please address your request to: [email protected]. If we ever grant you the permission to post, reproduce, or publicly display any part of our Services or Content, you must identify us as the owners or licensors of the Services, Content, or Marks and ensure that any copyright or proprietary notice appears or is visible on posting, reproducing, or displaying our Content.

We reserve all rights not expressly granted to you in and to the Services, Content, and Marks.

Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.

2.3 Feedback and private data

If you voluntarily send us suggestions or ideas for improving the Services ("Feedback"), you permit us to use that Feedback to develop and improve our products without compensation to you. You must have the rights needed to provide it. This permission does not transfer ownership of your Portfolio records, account data, or private support communications, and does not authorize us to publish personal information included in Feedback. Those records and communications remain subject to sections 10, 11, and 24 and our Privacy and Cookie Policy.

3. User representations

By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Legal Terms; (4) you are at least 18 years old and not a minor in the jurisdiction in which you reside; (5) you will not access the Services through automated or non-human means except as expressly permitted under the API Terms or by us; (6) you will not use the Services for any illegal or unauthorized purpose; and (7) your use of the Services will not violate any applicable law or regulation.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).

4. User registration

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

5. Products

Criffy offers digital access to SaaS features, including Pro and Pro+ subscriptions. The features, usage limits, payment method, price, currency, taxes, and term applicable to a purchase are those disclosed in the offer and checkout you confirm. Changes to subscriptions and service availability are subject to sections 7, 8, 17, and 22 and applicable law.

6. Purchases and payment

Criffy remains the supplier of the Services. Whop provides hosted checkout and payment processing and acts as merchant of record for payment-processing purposes under its applicable terms; Whop does not supply or operate Criffy's SaaS features. Your use of Whop checkout is also subject to the applicable Whop Buyer Terms and Whop Privacy Policy. These Legal Terms govern the Services we provide.

Start checkout from your signed-in Criffy account so the purchase can be associated with that account. Available payment methods, including card and cryptocurrency where offered, are shown at checkout. Provide accurate purchase and account information and keep your email and payment details current. Confirm the price, currency, applicable taxes and fees, payment method, and renewal terms before paying. You authorize the payment you confirm and, for a recurring card subscription, the renewals described below.

Access depends on confirmation of a successful payment or an eligible trial. Payment confirmation and activation may be delayed by provider processing. Cryptocurrency payments must follow the amount, asset, network, and other instructions shown at checkout. Do not send funds using unsupported details. Payment processing, refunds, and disputes are also subject to applicable law and payment-provider and payment-network rules.

7. Subscriptions

7.1 Billing periods and renewal

Monthly and annual plans provide periods of 30 and 365 days respectively, rather than calendar months or years. The offer and checkout show your selected period and charge.

Card subscriptions renew automatically at the end of each billing period unless canceled. By confirming a recurring card subscription, you authorize recurring charges to your selected payment method under the disclosed terms until cancellation. Cryptocurrency purchases provide a single fixed period of access, do not automatically renew, and require a new purchase to continue access after that period.

7.2 Trial

A seven-day Pro trial may be offered with a recurring card subscription to eligible users who have not previously received a subscription or made a subscription payment, subject to payment-provider eligibility checks. It is not offered for Pro+ or cryptocurrency payments. When offered, checkout shows the trial and the first paid charge. Unless you cancel before the trial ends, the card subscription starts its paid billing period and renews automatically. Canceling during the trial prevents the first paid charge and leaves trial access available until its original end.

7.3 Cancellation and unsuccessful renewal

You can cancel automatic renewal in your Criffy account's subscription settings. Cancellation normally preserves access until the end of the current paid period or trial and prevents future renewal charges. Canceling after access has already expired does not extend access. Cancellation itself does not refund an earlier payment; section 8 applies to refund requests. Contact [email protected] if you need help.

If a renewal payment fails or is not confirmed, paid access ends at the end of the period already covered. Payment retries or an unresolved payment do not create an additional period of access. A successful payment must be confirmed before renewed access is granted.

7.4 Plan and billing-period changes

An immediate upgrade from Pro to Pro+ requires a new payment at the full price shown for the selected Pro+ period. A new paid period starts when the upgrade takes effect. The unused Pro period is not prorated, refunded, or credited against that upgrade, subject to section 8 and mandatory legal rights. The previous recurring membership is canceled after the upgrade payment succeeds.

Downgrades and other billing-period changes are scheduled for the end of the current period rather than rewriting the period already purchased. When you confirm a scheduled change between recurring card plans, you authorize the disclosed charge to the saved payment method when the change takes effect. Review the amount, effective date, and payment method in the confirmation. Cryptocurrency access requires a separate purchase and does not authorize recurring charges.

7.5 Fee changes

We may change prices for future purchases and renewals. We will notify you of changes affecting your recurring subscription in advance as required by applicable law, including when the change takes effect and how to cancel before it applies. A price change does not retroactively alter the price of an already purchased period. Any consent required by law will be obtained.

8. Refunds policy

If you are dissatisfied with your purchase, you may request a full or partial refund by writing to [email protected] within 14 days after your initial purchase. Include enough information to identify the purchase and explain your request. We review each request according to its circumstances; this policy does not guarantee that every request will be approved. Contact us at the same address for help with the Services or questions about a refund.

This policy is additional to any mandatory rights of withdrawal, cancellation, conformity remedies, or refunds under applicable law, and does not limit those rights to initial purchases or to the above request window. Payment-provider and payment-network refund and dispute rules also apply. Accepting these Legal Terms alone does not waive a statutory withdrawal right.

A confirmed full refund of the payment supporting your current access ends that paid access and its automatic renewal. A partial refund does not by itself end current access. A refund of an older payment does not by itself remove access supported by a later valid paid period. While a formal payment dispute is open, access and recurring collection may be suspended. If the dispute is resolved in our favor, remaining valid access may be restored, unless the subscription has otherwise been canceled or ended; if it is resolved against us, the disputed access is revoked. These measures do not restrict your right to raise a lawful dispute or obtain a remedy required by law.

9. Prohibited activities

You may not access or use the Services for any purpose other than that for which we make the Services available. The Services may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

The restrictions below on automated access, retrieval, and commercial use do not prohibit access and integrations expressly permitted by the API Terms of Use. All other restrictions, including security, rights, and access-limit protections, continue to apply.

As a user of the Services, you agree not to:

  • Systematically retrieve data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
  • Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.
  • Circumvent, disable, or otherwise interfere with security-related features of the Services, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Services and/or the Content contained therein.
  • Disparage, tarnish, or otherwise harm, in our opinion, us and/or the Services.
  • Use any information obtained from the Services in order to harass, abuse, or harm another person.
  • Make improper use of our support services or submit false reports of abuse or misconduct.
  • Use the Services in a manner inconsistent with any applicable laws or regulations.
  • Engage in unauthorized framing of or linking to the Services.
  • Upload or transmit (or attempt to upload or to transmit) viruses, Trojan horses, or other material, including excessive use of capital letters and spamming (continuous posting of repetitive text), that interferes with any party’s uninterrupted use and enjoyment of the Services or modifies, impairs, disrupts, alters, or interferes with the use, features, functions, operation, or maintenance of the Services.
  • Engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools.
  • Delete the copyright or other proprietary rights notice from any Content.
  • Attempt to impersonate another user or person or use the username of another user.
  • Upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including without limitation, clear graphics interchange formats ("gifs"), 1×1 pixels, web bugs, cookies, or other similar devices (sometimes referred to as "spyware" or "passive collection mechanisms" or "pcms").
  • Interfere with, disrupt, or create an undue burden on the Services or the networks or services connected to the Services.
  • Harass, annoy, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Services to you.
  • Attempt to bypass any measures of the Services designed to prevent or restrict access to the Services, or any portion of the Services.
  • Copy or adapt the Services' software, including but not limited to Flash, PHP, HTML, JavaScript, or other code.
  • Except as permitted by applicable law, decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Services.
  • Except as may be the result of standard search engine or Internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Services, or use or launch any unauthorized script or other software.
  • Use a buying agent or purchasing agent to make purchases on the Services.
  • Make any unauthorized use of the Services, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses.
  • Use the Services as part of any effort to compete with us or otherwise use the Services and/or the Content for any revenue-generating endeavor or commercial enterprise.
  • Sell or otherwise transfer your profile.
  • Use the Services to advertise or offer to sell goods and services.

10. User content and Portfolio sharing

You may create and store content through the Services, including Portfolio names, labels, public wallet addresses, asset and transaction records, and Earn and Loan positions ("User Content"). You retain your rights in that content. Private Portfolio records are not public submissions or Feedback.

You must have the rights and permissions needed to enter your User Content and to share it if you choose. Do not upload unlawful content, infringe another person's rights, or enter private keys, recovery phrases, passwords for external accounts, or information you are not authorized to provide. You are responsible for maintaining and checking your entries; a mistaken entry does not itself waive your legal rights against us.

Portfolio sharing is optional. If you enable it, anyone who obtains the sharing link can view the permitted information without signing in and may copy or redistribute it. Hiding amounts does not hide all details: asset and platform names, group labels, dates, statuses, unit prices, APY, configured LTV thresholds, and relative metrics may remain visible. Wallet addresses and account-owner details are not included in the public Portfolio view. Review the shared view before distributing a link. Revoking the link stops future access through that link, but cannot retrieve copies already made by others. Our Privacy and Cookie Policy explains this processing in more detail.

11. Permission to process User Content

You give us a non-exclusive permission to host, store, copy, process, and display User Content only as needed to provide, maintain, and secure the Services you use, carry out your instructions, and make the disclosures you choose, such as an enabled Portfolio sharing link. This permission does not transfer ownership or grant us a general right to sell, publish, or commercially exploit your private Portfolio records. Service providers may process content for these purposes subject to the protections described in our Privacy and Cookie Policy.

Your sharing settings govern public disclosure through Portfolio. Retention, deletion requests, legal obligations, and backups are addressed in the Privacy and Cookie Policy. Feedback is separately covered by section 2.3. Nothing in this section requires you to waive a claim or remedy concerning our handling of your data.

12. Third-party sign-in

Where offered, you may register or sign in using a supported provider such as Google or Facebook. You authorize the provider to share the basic account information requested in its sign-in flow so that we can authenticate you and create or link your Criffy account. Enter the provider's password only on its own sign-in page, not in Criffy fields. This sign-in does not connect a financial account or authorize Criffy to execute transactions.

The provider's own terms and privacy notice govern your relationship with that provider. Our Privacy and Cookie Policy explains the information we receive and how we use it. If you lose access to that sign-in method or need help with your Criffy account, contact [email protected].

13. Third-party websites and content

The Services may display third-party data or link to external exchanges, wallets, protocols, offers, and other websites or services. Their prices, availability, yields, terms, security, and reliability can change without notice to us. A listing or link does not mean that we endorse, audit, or guarantee the external provider, product, or investment. Check the original source and the provider's terms and privacy policy before acting.

External financial transactions are between you and the relevant external provider. Criffy does not execute, monitor, insure, or guarantee those transactions or the safety or recovery of assets held elsewhere. Subject to section 22 and mandatory law, we are not responsible for losses caused by external providers, their data, failures, or actions. This does not remove Criffy's responsibility as supplier of its own SaaS Services, including when payment for those Services is collected through Whop.

14. Services management

We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Legal Terms, including without limitation, reporting such user to law enforcement authorities; (3) subject to sections 16 and 22, restrict access to or disable User Content where reasonably necessary to address violations or protect the Services; (4) where reasonably necessary to protect the Services and subject to section 22, to remove from the Services or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (5) otherwise manage the Services in a manner designed to protect our rights and property and to facilitate the proper functioning of the Services.

15. Privacy and Cookie Policy

Our Privacy and Cookie Policy explains how we handle personal data, including Portfolio records, billing information, sharing choices, cookies, and privacy requests. It forms part of the information provided with these Legal Terms. Accepting these Legal Terms does not itself constitute consent to every form of data processing or waive your data-protection rights. Where consent is required, we request it separately, including through the cookie preferences controls described in that policy.

16. Term and termination

These Legal Terms apply while you use the Services. We may restrict or suspend access where reasonably necessary to address a material breach of these terms, unlawful activity, a security threat, or payment issues described in sections 7 and 8. We may terminate access for a material breach or where required by law. Where reasonably practicable and legally permitted, we will notify you of the reason and any opportunity to resolve the issue. Urgent protective measures may take effect immediately.

Cancellation of paid access follows section 7. Ending access does not by itself erase all stored data; the Privacy and Cookie Policy governs retention and deletion requests. Any termination or discontinuance remains subject to mandatory rights, applicable refund obligations, and section 22. You must not create another account to evade a valid suspension or termination. We may pursue lawful remedies for a breach.

17. Modifications and interruptions

We may update the Services and their content, correct errors, and carry out maintenance. Hardware, software, network, or external-provider issues may cause downtime, delayed data, unavailable features, or calculation errors. We do not promise uninterrupted availability or that every error will be detected or corrected immediately. Keep independent records and avoid relying on Criffy as your only source for time-sensitive financial decisions.

We will give notice of material changes affecting a paid subscription as required by law and will honor any applicable cancellation, refund, or other remedy. Changes to future fees follow section 7.5. Any liability relating to modification, interruption, or discontinuance is governed by section 22; this section does not remove mandatory service-conformity or consumer rights.

18. Governing law

These Legal Terms are governed by the laws of Georgia. Subject to section 19 and any mandatory jurisdiction rules, the courts of Georgia have jurisdiction over disputes relating to these Legal Terms. If you are a consumer, this choice does not deprive you of mandatory protections or rights to bring proceedings in a court that applicable law makes available to you.

19. Dispute resolution

The procedures and restrictions below apply only where legally enforceable. They do not prevent a consumer from using courts, regulators, statutory remedies, or other dispute procedures available under mandatory law, and do not require arbitration or delay a claim where that would unlawfully restrict those rights.

19.1 Informal Negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms (each a "Dispute" and collectively, the "Disputes") brought by either you or us (individually, a "Party" and collectively, the "Parties"), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.

19.2 Binding Arbitration

Any dispute arising out of or in connection with these Legal Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by the International Commercial Arbitration Court under the European Arbitration Chamber (Belgium, Brussels, Avenue Louise, 146) according to the Rules of this ICAC, which, as a result of referring to it, is considered as the part of this clause. The number of arbitrators shall be one (1). The seat, or legal place, or arbitration shall be Tbilisi, Georgia. The language of the proceedings shall be English, Georgian. The governing law of these Legal Terms shall be substantive law of Georgia.

19.3 Restrictions

The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

19.4 Exceptions to Informal Negotiations and Arbitration

The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

20. Corrections

There may be information on the Services that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We may correct errors, inaccuracies, or omissions and update information on the Services. Corrections do not retroactively authorize additional charges or remove your rights in an already confirmed purchase; sections 6, 7, 8, and 22 apply.

21. Disclaimer

Subject to section 22 and mandatory law, the Services and informational content are provided on an "as is" and "as available" basis. To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that market data, Portfolio entries, estimates, history, alerts, or third-party content will be accurate, complete, current, uninterrupted, or free from errors. Security measures reduce risks but cannot guarantee protection against every unauthorized access, data loss, or disruption.

These qualifications do not excuse obligations or service standards that cannot legally be excluded. Our responsibility for errors, interruptions, data handling, and other failures is subject to section 22, rather than an unconditional exclusion of all liability.

21.1 No investment, tax, or accounting advice

The Services, including Portfolio analytics and alerts, provide information and recordkeeping tools. They do not provide personalized financial, investment, trading, legal, tax, or accounting advice, recommend buying, selling, or holding any asset, or promise any return or outcome. A displayed asset, rate, offer, APY, or LTV is not an endorsement or a representation that it is suitable for you. You make your own decisions, verify information with original sources, and consult qualified advisers where necessary. Crypto assets and financial activities can involve substantial losses, including loss of the entire amount committed.

22. Limitations of liability

22.1 Excluded losses

To the maximum extent permitted by applicable law, Criffy and its officers, employees, and agents are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages; lost profit, revenue, business opportunities, or anticipated savings; investment or trading losses; liquidation losses; losses caused by external services; or losses arising from reliance on estimated, inaccurate, incomplete, or delayed data or alerts. These exclusions apply regardless of the legal basis of the claim and whether the possibility of such loss was known, but remain subject to section 22.3.

22.2 Aggregate limit

Subject to section 22.3, our total aggregate liability to you for all claims arising out of or relating to the Services or these Legal Terms will not exceed the total amount you paid for Criffy Services, including payments collected through Whop, during the twelve (12) months immediately preceding the event giving rise to the claim. This limit applies regardless of whether the claim is based on contract, tort, negligence, or another legal theory. API-specific use remains governed by the special API Terms as explained in section 1.3.

22.3 Rights and liability that cannot be excluded

Nothing in these Legal Terms excludes or limits liability for fraud or intentional wrongdoing, or for gross negligence, death, personal injury, or any other liability to the extent it cannot lawfully be excluded or limited. Nothing removes mandatory consumer or data-protection rights, statutory withdrawal or conformity remedies, refunds required by law, or access to a court, regulator, or payment-dispute procedure protected by law. Where an exclusion or limit is prohibited or unenforceable, it applies only to the extent legally permitted.

This section qualifies every disclaimer, exclusion, limitation, indemnity, and restriction of remedies in these Legal Terms, including provisions concerning User Content, third parties, data loss, service changes, and termination. It does not turn an estimate into a guarantee or remove your responsibility for decisions you make, but it preserves rights and remedies that cannot be waived.

23. Indemnification

To the extent permitted by law and subject to section 22.3, you are responsible for reasonable losses and costs arising from third-party claims to the extent caused by your unlawful use of the Services, material breach of these Legal Terms, or infringement of that third party's rights. This obligation does not cover losses caused by our own breach, negligence, or intentional wrongdoing, and does not require you to compensate us merely because you use the Services or exercise a lawful complaint, refund, or dispute right.

We will give you reasonable notice of a claim and a reasonable opportunity to participate in its defense. We will not agree to a settlement imposing an admission or non-monetary obligation on you without your consent. This section does not override any mandatory consumer protection.

24. User data

We store and process account and Portfolio data to provide the Services as described in our Privacy and Cookie Policy. You retain your rights in your User Content. Maintain independent copies of important entries and original financial records: Portfolio is not an official ledger, account statement, or guaranteed backup service. Errors, interruptions, or data loss may affect stored records or history; any liability for them is governed by section 22, and you do not waive non-excludable claims about your data.

Deleting a Portfolio removes it from ordinary access, including access through its sharing link, but does not promise immediate physical erasure of every underlying record or backup. Contact [email protected] to request deletion of personal data or an account. Retention, legal obligations, and the handling of such requests are described in our Privacy and Cookie Policy.

25. Electronic communications, transactions, and signatures

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Services, satisfy any legal requirement that such communication be in writing. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS INITIATED OR COMPLETED BY US OR VIA THE SERVICES. This agreement to electronic communications applies only to the extent permitted by law and does not waive any mandatory right to a particular form of notice, signature, record, or payment remedy.

26. California users and residents

If any complaint with us is not satisfactorily resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, California 95834 or by telephone at (800) 952-5210 or (916) 445-1254.

27. Miscellaneous

These Legal Terms and any policies or operating rules posted by us on the Services or in respect to the Services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Legal Terms shall not operate as a waiver of such right or provision. These Legal Terms operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. Subject to section 22 and mandatory law, we are not responsible for a delay or failure to perform to the extent caused by circumstances beyond our reasonable control; this does not remove any applicable cancellation or refund right. If any provision or part of a provision of these Legal Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Legal Terms and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Legal Terms or use of the Services. You agree that these Legal Terms will not be construed against us by virtue of having drafted them. The electronic form of these Legal Terms does not limit any mandatory legal right or defense.
