We operate the website https://criffy.com (the "Site") and provide public application programming interfaces, related API keys, documentation, data, software, and other related products and services that refer or link to these API Terms of Use (the "API Terms") (collectively, the "API Services").
These API Terms constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and the Company concerning your access to and use of the API Services. By creating, holding, or using an API key, calling any API endpoint, or otherwise accessing the API Services, you confirm that you have read, understood, and agree to be bound by these API Terms.
IF YOU DO NOT AGREE WITH ALL OF THESE API TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE API SERVICES AND MUST DISCONTINUE USE IMMEDIATELY.
These API Terms supplement our Terms & Conditions and Privacy and Cookie Policy. If these API Terms conflict with the general Terms & Conditions for your use of the API Services, these API Terms control only for that API-specific use.

The Criffy public REST API is available under https://criffy.com/api/v1/* and is designed for market data integrations by users with active Criffy Pro+ access.
The documented API resources may include exchanges, wallets, protocols, currencies, earn offers, borrow offers, collateral offers, and historical data for earn and borrow offers. The available endpoints, schemas, response fields, filters, limits, examples, and error formats are described in our API documentation and may change from time to time.
The API Services include data and content made available through the API, API documentation, examples, metadata, response headers, error responses, API key management features, and any other API-related materials that we provide (collectively, the "API Content").
The API Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the API Services.
Every documented public API endpoint requires an API key sent as a Bearer token in the Authorization header and an active paid Criffy Pro+ account. API keys are created, regenerated, revoked, and monitored from Settings -> API in the signed-in Criffy dashboard.
Your account may have only one active API key at a time. If you regenerate or revoke an API key, the previous key stops working immediately and any application, script, service, or integration using that key must be updated or stopped.
We may refuse, suspend, revoke, rotate, or limit API access if we believe that your account, API key, integration, or use of the API Services violates these API Terms, our other legal terms, our documentation, applicable law, or the security or reliability of Criffy or third-party systems.
You are responsible for maintaining the confidentiality and security of your account credentials and API keys. You are responsible for all requests made with your API key, whether or not you authorized them.

Subject to these API Terms, your active Pro+ access, and your compliance with applicable documentation and limits, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the API Services and API Content solely to build, operate, and maintain your own internal or external applications, websites, services, reports, workflows, or integrations.
You may display API Content in your product or service only as part of a meaningful integration that adds independent functionality, context, analysis, or user experience. You may temporarily store API Content only to the extent reasonably necessary to provide your integration, improve performance, support caching, or comply with ordinary backup and security practices.
Except for the limited license above, we and our licensors reserve all rights in and to the API Services, API Content, Site, trademarks, logos, software, documentation, databases, and other intellectual property.
If you display, publish, or otherwise make API Content available to users or third parties, you must provide clear attribution to Criffy using the following wording:

The attribution must include a hyperlink to https://criffy.com where links are technically supported. You must not remove, obscure, or alter any copyright, trademark, proprietary, attribution, source, disclaimer, or warning notice included with the API Services or API Content.
We may require you to modify or remove attribution, links, names, branding, or references to Criffy if we believe they are inaccurate, misleading, unlawful, or harmful to Criffy, our users, our licensors, or third parties.
You may not use the API Services for any purpose other than that for which we make them available. You agree not to, and not to permit any user, customer, contractor, agent, or third party to:

You are responsible for obtaining and maintaining all hardware, software, telecommunications, network, hosting, security, and other resources necessary to access and use the API Services, and for paying all charges related to them.
API access is currently included with the Criffy Pro+ plan. We may update API access requirements, subscription plans, pricing, billing terms, rate limits, quotas, endpoint availability, feature availability, and other API conditions from time to time.
Current default limits are 60 requests per minute and 100,000 requests per calendar month per API key. Monthly quota resets on the 1st day of each month at 00:00 UTC. These values may be configured, changed, or replaced by us, and may vary by plan, account, key, endpoint, promotion, contract, operational need, or other criteria.
The effective limits for your use may be shown in the Criffy dashboard, API documentation, and API response headers. Authenticated responses may include X-RateLimit-*, X-Quota-*, and, where applicable, Retry-After headers. You should treat those headers and the dashboard as the current operational source of truth for your remaining requests, effective limits, and reset times.
You are responsible for monitoring your API usage and designing your integration to handle rate limits, quota exhaustion, key revocation, subscription changes, endpoint changes, downtime, errors, and other interruptions.
The API Services and API Content are owned or controlled by Criffy, our licensors, suppliers, or other rights holders. The API Content may include data submitted by or derived from unrelated third-party providers.
The API Services have been developed, compiled, prepared, revised, selected, and arranged through the application of methods and standards of judgment developed and applied through substantial time, effort, and expense. You must protect the proprietary rights of Criffy and all other rights holders during and after your use of the API Services.
Nothing in these API Terms transfers ownership of the API Services, API Content, Site, software, documentation, trademarks, service marks, logos, trade dress, data, databases, or other intellectual property to you or your users.
If you send or transmit any feedback, ideas, comments, questions, suggestions, or other communications about the API Services ("Feedback"), you agree that the Feedback is non-confidential and non-proprietary. We may use, reproduce, disclose, modify, adapt, publish, license, distribute, and otherwise exploit Feedback for any purpose without attribution or compensation to you.
The API Services and API Content are provided strictly for informational purposes. Nothing in the API Services or API Content constitutes or should be construed as financial, investment, trading, legal, tax, accounting, or other professional advice, an offer or solicitation to buy or sell any currency, token, security, commodity, financial instrument, product, or service, or a recommendation of any investment strategy.
API Content is not tailored to the specific needs, objectives, circumstances, risk tolerance, or financial condition of any individual, entity, or group. Criffy does not recommend or endorse any investment, asset, platform, protocol, exchange, wallet, offer, rate, yield, APY, LTV, strategy, transaction, or course of action through the API Services.
You and your users are solely responsible for independent evaluation, decisions, transactions, risks, losses, taxes, compliance, and professional advice related to any use of API Content.
THE API SERVICES AND API CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES AND CONDITIONS, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, COMPLETENESS, TIMELINESS, AVAILABILITY, SECURITY, RELIABILITY, AND COURSE OF DEALING.
We do not guarantee that the API Services or API Content will be accurate, complete, current, uninterrupted, secure, available, error-free, compatible with your systems, or free of viruses or other harmful components. We do not guarantee that any API Content will continue to be available, that any endpoint or field will remain unchanged, or that errors or defects will be corrected.
API Content may include inaccuracies, omissions, delays, stale data, third-party errors, calculation differences, availability changes, or other issues. You use the API Services and API Content at your own risk.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE OR OUR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, CONTRACTORS, SERVICE PROVIDERS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOST BUSINESS, LOST GOODWILL, LOST DATA, BUSINESS INTERRUPTION, COMPUTER DAMAGE, SYSTEM FAILURE, COST OF SUBSTITUTE SERVICES, TRADING LOSSES, INVESTMENT LOSSES, OR OTHER DAMAGES ARISING OUT OF OR RELATED TO THE API SERVICES OR API CONTENT, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, WARRANTY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE API SERVICES OR API CONTENT WILL NOT EXCEED THE GREATER OF (I) USD 25.00 OR (II) THE AMOUNT YOU PAID TO CRIFFY FOR API ACCESS DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain disclaimers or limitations of liability. In those jurisdictions, the disclaimers and limitations above apply only to the maximum extent permitted by applicable law.
Except to the extent prohibited by applicable law, you agree to defend, indemnify, and hold harmless us and our officers, directors, employees, agents, affiliates, contractors, service providers, licensors, suppliers, successors, and assigns from and against any claims, demands, suits, actions, proceedings, losses, liabilities, damages, judgments, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

We may change these API Terms from time to time by posting updated API Terms or otherwise notifying you. The updated API Terms will become effective when posted or as otherwise stated in the notice. Your continued use of the API Services after the effective date of updated API Terms means that you accept the updated API Terms.
If you do not agree to updated API Terms, you must stop using the API Services.
We may suspend, terminate, revoke, block, throttle, or restrict your API access, API key, account, or ability to use API Content at any time if we believe that:
Upon expiration, suspension, or termination of your API access, your license to use the API Services and API Content immediately ceases. You must stop using the API Services and, where required by us, delete API Content in your possession or control unless retention is required by applicable law.
These API Terms shall be governed by and defined following the laws of Georgia. Individual Entrepreneur ANDREI MALYSHOK and yourself irrevocably consent that the courts of Georgia shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these API Terms, subject to any mandatory rights you may have under applicable law.
Nothing in these API Terms limits our right to seek injunctive or equitable relief for unauthorized use of the API Services, API Content, or intellectual property, or for conduct that threatens the security, availability, or integrity of the API Services.
These API Terms, together with any other terms, policies, or documentation referenced herein, constitute the entire agreement between you and us regarding the API Services and supersede all prior or contemporaneous communications regarding the API Services.
If any provision of these API Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these API Terms and does not affect the validity and enforceability of any remaining provisions.
Our failure to exercise or enforce any right or provision of these API Terms will not operate as a waiver of such right or provision. We may assign any or all of our rights and obligations under these API Terms at any time. You may not assign or transfer these API Terms or your rights or obligations under them without our prior written permission.
There is no joint venture, partnership, employment, agency, fiduciary, or franchise relationship created between you and us as a result of these API Terms or your use of the API Services.
